1. Acceptance of Terms

By accessing or using Gridleaf ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users, including API consumers, MCP connector users, and dashboard users.

2. Description of Service

Gridleaf is an energy analytics platform that provides tools for site due diligence, wholesale electricity market data, carbon emissions analysis, environmental screening, transmission capacity assessment, and regulatory intelligence via the Model Context Protocol (MCP) and web dashboard. All tools are read-only data queries and do not execute financial transactions or control physical infrastructure.

3. Account Registration

You must create an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and API keys. You must provide accurate and complete registration information and promptly update it if it changes. You are responsible for all activity under your account.

4. API Keys & Authentication

API keys are personal and non-transferable. Do not share, publish, or embed API keys in client-side code or public repositories. If you believe your API key has been compromised, revoke it immediately from your dashboard. We reserve the right to revoke API keys that are misused or compromised.

5. Acceptable Use

You may use the Service for lawful energy analytics, research, and professional purposes. You may not: (a) use the Service to violate any law or regulation; (b) attempt to reverse-engineer, decompile, or extract source code; (c) resell or redistribute raw API data without authorization; (d) use automated systems to abuse rate limits or circumvent credit controls; (e) interfere with or disrupt the Service or its infrastructure; (f) use the Service to build a competing product that replicates our core functionality.

6. Credits & Billing

The Service operates on a credit-based billing model. Free accounts receive 1,000 credits upon signup. Additional credit packs may be purchased via Stripe. Credits are non-refundable and non-transferable. Credit costs per tool are published on our pricing page and may be updated with reasonable notice. Unused credits do not expire unless your account is terminated.

7. Data Sources & Accuracy

Gridleaf aggregates data from public federal agencies (FEMA, EPA, NREL, USGS, USFWS, EIA), ISO/RTO market feeds (CAISO, PJM, ERCOT, MISO, NYISO, SPP, ISO-NE), and licensed commercial sources (LightBox, Google Maps). While we strive for accuracy, data is provided "as is" from upstream sources. We do not guarantee completeness, timeliness, or accuracy. All outputs are advisory and should be validated by qualified professionals before making investment, siting, or regulatory decisions.

8. Intellectual Property

The Service, including its software, documentation, branding, and analytics methodologies, is owned by Gridleaf. You retain ownership of any data you provide. By using the Service, you grant us a limited license to process your queries solely to deliver results. We do not claim ownership of query results delivered to you.

9. Availability & Support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible. Support is available via email at sc@gridleaf.org. We will make commercially reasonable efforts to respond within one business day.

10. Limitation of Liability

To the maximum extent permitted by law, Gridleaf shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, data loss, or business interruption. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Gridleaf does not warrant that the Service will be error-free or that results will be accurate for any specific purpose.

12. Indemnification

You agree to indemnify and hold harmless Gridleaf and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

13. Termination

Either party may terminate at any time. We may suspend or terminate your account for violation of these terms, abuse of the Service, or non-payment. Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination will do so.

14. Modifications

We may update these terms from time to time. Material changes will be communicated via email or dashboard notice. Continued use of the Service after changes constitutes acceptance.

15. Governing Law

These terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Colorado.
